Terms of Service

1. Acceptance of Terms
By accessing or using Task Ember ("the Service"), you agree to be bound by these Terms of Service. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these terms.
2. Description of Service
Task Ember is a cloud management platform that enables Managed Service Providers (MSPs) and IT teams to provide their clients with controlled, self-service access to Microsoft Azure cloud resources through white-labeled portals. The Service includes:
- Multi-tenant portal management with custom branding
- Azure resource integration and monitoring
- Scheduled actions and automation (VM start/stop, PowerShell execution)
- Alert webhooks and notification systems
- File storage and AI-powered search
- Real-time activity logging and audit trails
3. Account Registration
You must authenticate via Microsoft Azure Active Directory or Google to use the Service. You are responsible for maintaining the security of your authentication credentials. You must notify us immediately of any unauthorised use of your account.
4. Subscriptions and Billing
Plans
Task Ember offers Spark and Pro subscription plans, as well as a credit-based system for per-resource integrations. Free trials may be offered for select products.
Payment
All payments are processed by Stripe. Subscriptions are billed monthly or annually as selected. Credits are purchased as one-time transactions.
Cancellation
You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. Unused credits are non-refundable.
Free Trials
Free trial integrations are provided for a limited period (typically 7 days). After expiry, the integration will be deactivated until upgraded to a paid plan.
5. Azure Resources and Permissions
Task Ember operates on Azure resources that you explicitly connect. By connecting resources, you grant Task Ember permission to perform the actions you configure (e.g., starting/stopping VMs, running scripts). You are responsible for:
- Ensuring you have authority to connect and manage the Azure resources
- Configuring appropriate permissions and access controls
- Reviewing scheduled actions and automation before enabling them
- Managing your own Azure costs resulting from actions performed through Task Ember
6. BYOAR (Bring Your Own App Registration)
When using your own Azure App Registration, you retain full control of the credentials. Task Ember stores the client secret in Azure Key Vault and uses it solely to execute configured actions. You may revoke access at any time.
7. Multi-Tenant Portals
As a portal owner, you are responsible for managing your portal users, their roles, and their access levels. Task Ember provides the tools for access control, but the configuration and administration of your portal is your responsibility.
8. Acceptable Use
You agree not to:
- Use the Service for any illegal or unauthorised purpose
- Attempt to gain unauthorised access to other tenants' data
- Use the webhook system to send spam or malicious payloads
- Execute scripts designed to damage or disrupt Azure resources
- Reverse-engineer, decompile, or disassemble the Service
- Resell or redistribute the Service without written consent
- Circumvent rate limits or security controls
9. Intellectual Property
The Service, including its design, code, and branding, is owned by Task Ember. Your data remains your property. White-label customisations (logos, colours, domains) that you apply to your portals remain your intellectual property.
10. Limitation of Liability
Task Ember is provided "as is" without warranty of any kind. We are not liable for:
- Azure service outages or failures beyond our control
- Data loss resulting from actions you configured (e.g., VM deletions, script execution)
- Costs incurred on your Azure subscription from actions performed through the platform
- Indirect, incidental, or consequential damages
Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim.
11. Service Availability
We target 99.9% uptime for the Task Ember platform. Scheduled maintenance will be communicated in advance. We reserve the right to modify or discontinue features with reasonable notice.
12. Termination
We may suspend or terminate your account if you violate these Terms. Upon termination, your access to the Service and your data will be removed within 30 days. You may export your data before termination.
13. Changes to Terms
We may update these Terms from time to time. Material changes will be notified via email or in-app notification. Continued use of the Service after changes constitutes acceptance.
14. Governing Law
These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
